Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the CargoParse web application at cargoparse.com (the "Service"), operated by CargoParse LLC, a Florida limited liability company ("CargoParse," "we," "us," or "our").
By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
These Terms contain a mandatory arbitration provision and class action waiver in Section 17. Please read them carefully.
The Service is designed for and directed at businesses operating in the United States. See Section 18 if you are accessing the Service from outside the United States.
2. Description of Service
CargoParse is a document-processing platform. You upload freight and logistics documents (Bills of Lading, Proofs of Delivery, Rate Confirmations, Carrier Invoices, Commercial Invoices, Lumper Receipts, and Warehouse Receipts), and the Service uses AI to extract structured data from those documents.
The Service is provided "as is." Extracted data is generated by AI models and may contain errors. You should not rely on extracted data for time-sensitive business decisions, legal filings, regulatory submissions, or financial transactions without independent verification. You are solely responsible for reviewing extracted data before relying on it for business operations.
3. Accounts
You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account.
You may not share your account credentials with others. If you join an organization (team account), your organization's owner and administrators may manage your access and view documents uploaded by team members.
We reserve the right to suspend or terminate accounts in accordance with Section 12 below.
4. Subscriptions and Billing
CargoParse offers a free tier and paid subscription plans (Haul, Fleet, Terminal). Paid plans are billed monthly through Stripe. Prices are listed on our pricing page and may change with 30 days' notice delivered to the email address on file for your account.
- Subscriptions renew automatically each billing period.
- You may cancel at any time through the Stripe Customer Portal. Access continues until the end of the current billing period.
- All fees are non-refundable except as required by applicable law. Refund requests for extenuating circumstances may be considered at our sole discretion. Contact support@cargoparse.com for refund requests.
- Usage limits (documents per month) reset on your billing anniversary, not the first of the month.
- If payment fails, we may suspend access to paid features after a reasonable grace period. Your account will be subject to the termination provisions in Section 12.
5. Your Content
You retain ownership of all documents you upload and all data extracted from them ("Your Content"). By uploading documents, you grant CargoParse a limited, non-exclusive license to process, store, transmit, and display Your Content solely to provide the Service to you.
We do not use the content of Your documents to train third-party AI models. Document content is sent to Amazon Bedrock for real-time extraction only and is not retained by the AI model provider. We may use aggregated, de-identified usage metrics (such as document type frequency, extraction accuracy statistics, and performance data) to operate, secure, and improve the Service.
You represent and warrant that:
- You have the right to upload the documents you submit
- Your Content does not violate any third party's intellectual property or privacy rights
- You have obtained all necessary consents from any individuals whose personal information appears in Your Content (for example, drivers, consignees, or shipper contacts)
- You will not upload documents containing content that is illegal, harmful, or violates applicable law
- You will not upload documents containing personal information subject to the EU/UK/Swiss GDPR or similar cross-border data transfer regulations without first executing a separate data transfer agreement with CargoParse
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to reverse-engineer, decompile, or extract the source code of the Service
- Use the Service to develop, train, or improve a product or service that competes with CargoParse
- Circumvent usage limits, rate limits, or access controls
- Use automated tools to scrape, crawl, or extract data from the Service beyond the provided API
- Interfere with or disrupt the Service or its infrastructure
- Attempt to gain unauthorized access to any portion of the Service, other accounts, or connected systems
- Share API keys or access credentials with unauthorized parties
- Resell or redistribute the Service without written permission
7. API Access
Paid plans may include API access governed by per-plan rate limits and key limits. API keys are confidential — you are responsible for securing them. You are responsible for all usage and charges incurred under your API keys, whether authorized or not, until you revoke or rotate them. We may revoke API access for abuse or Terms violations.
8. Team Accounts (Organizations)
Organization owners are responsible for their team's compliance with these Terms. When you create or join an organization:
- Documents uploaded by team members are shared within the organization
- The organization's subscription covers all members' usage
- Administrators can manage members, templates, and organization settings
- If you leave an organization, documents you uploaded remain with the organization
9. Data Retention and Deletion
Extracted data (the structured fields and line items we generate from your documents) is retained permanently on every plan, including Free, until you delete it. Source files (the original PDFs, JPGs, PNGs, or TIFFs you upload) are retained according to your plan: 30 days on Free, permanently on every paid plan. See our Privacy Policy for full details.
You can delete individual documents at any time. Deleting your account permanently removes all your data.
If you cancel a paid subscription, your extracted data is preserved indefinitely. New source-file uploads after cancellation use the Free 30-day window; existing source files keep their original retention stamp from when they were uploaded.
10. Data Processing and Security
We implement commercially reasonable technical and organizational measures to protect Your Content, including encryption in transit (TLS), encryption at rest (AWS-managed keys), access controls, and authenticated API access. Details are available in our Privacy Policy and through our sub-processor list.
Business customers who require a Data Processing Agreement ("DPA") may execute one through their account settings or by contacting support@cargoparse.com. The current DPA is available at cargoparse.com/dpa.
We use third-party service providers ("sub-processors") to deliver the Service. A current list is available at cargoparse.com/subprocessors. We will provide reasonable advance notice of material changes to our sub-processors where required by an executed DPA.
11. Service Availability
We strive to maintain reliable access to the Service, but we do not guarantee uninterrupted availability. Scheduled maintenance, emergency maintenance, and disruptions to third-party services we rely on (including but not limited to Amazon Web Services, Stripe, and AI model providers) may cause temporary unavailability. We do not offer a contractual service level agreement unless separately agreed in writing.
12. Suspension and Termination
12.1 Termination by You. You may terminate your account at any time through the account settings page. See Section 9 for data retention following termination.
12.2 Termination for Convenience by Us. We may terminate your account with 30 days' notice for any reason or no reason. In such case, we will provide a reasonable period for you to export Your Content.
12.3 Termination for Ordinary Breach. If you materially breach these Terms in a manner not covered by Section 12.4, we will provide written notice describing the breach. You will have 30 days from receipt of the notice to cure the breach. If the breach is not cured within 30 days, we may suspend or terminate your account.
12.4 Immediate Termination. We may suspend or terminate your account immediately, without prior notice or cure period, if you:
- Fail to pay fees owed after a reasonable grace period
- Use the Service for illegal purposes or in violation of applicable law
- Pose a security threat to the Service, other users, or third parties (including through attempted unauthorized access, exploitation, or abuse)
- Engage in fraud, identity misrepresentation, or circumvention of our account controls
- Commit a repeat violation of any breach for which we have previously provided cure notice
12.5 Effect of Termination. Upon termination, your right to access the Service ends. Data retention and deletion following termination are governed by Section 9.
12.6 Service Discontinuation. If we discontinue the Service, we will provide at least 30 days' advance notice and a 30-day window during which you may export Your Content.
13. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT GUARANTEE THAT EXTRACTED DATA WILL BE 100% ACCURATE. AI-GENERATED OUTPUT MAY CONTAIN ERRORS, OMISSIONS, OR MISINTERPRETATIONS. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING EXTRACTED DATA BEFORE USING IT IN BUSINESS OPERATIONS, LEGAL FILINGS, OR FINANCIAL TRANSACTIONS.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOU USE THE SERVICE AT YOUR OWN RISK.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARGOPARSE LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
15. Force Majeure
Neither party shall be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, civil unrest, labor disputes, internet or telecommunications failures, cyberattacks, third-party service provider outages (including but not limited to Amazon Web Services, Stripe, and AI model providers), changes in applicable law, or governmental actions.
16. Indemnification
You agree to indemnify, defend, and hold harmless CargoParse LLC, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your infringement of any third party's intellectual property, privacy, or other rights
- Your Content, including any personal information contained within Your Content
17. Dispute Resolution and Arbitration
17.1 Informal Resolution. Before initiating arbitration, you agree to first contact us at support@cargoparse.com with a written description of the dispute. We will attempt to resolve the dispute informally within 60 days of receipt.
17.2 Mandatory Arbitration. Except as set forth in Section 17.5, any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator.
17.3 Arbitration Location. The arbitration shall take place in Miami, Florida, or by video conference at the election of the party initiating arbitration.
17.4 Class Action Waiver. YOU AND CARGOPARSE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of representative or class proceeding.
17.5 Exceptions to Arbitration. Either party may bring an individual action in small claims court, and either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.
17.6 Governing Law. These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. For any claim not subject to arbitration, the parties consent to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida.
17.7 Federal Arbitration Act. This arbitration provision is governed by the Federal Arbitration Act.
18. Geographic Scope
The Service is designed for and directed at businesses operating in the United States. We do not currently market or actively offer the Service in the European Economic Area, United Kingdom, or Switzerland. If you access the Service from outside the United States, you do so on your own initiative and at your own risk, and you are responsible for compliance with all applicable local laws.
By using the Service, you acknowledge and agree that your information will be transferred to and processed in the United States. If you are subject to the EU/UK/Swiss GDPR or similar cross-border data transfer regulations, you must contact support@cargoparse.com to execute appropriate data transfer mechanisms (including Standard Contractual Clauses) before using the Service to process personal information subject to those laws.
19. Changes to These Terms
We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms with a new "Last updated" date and, for material changes, by sending notice to the email address on file for your account at least 30 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and may terminate your account.
20. Miscellaneous
20.1 Entire Agreement. These Terms, together with our Privacy Policy and any executed Data Processing Agreement, constitute the entire agreement between you and CargoParse regarding the Service and supersede all prior agreements and understandings.
20.2 Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
20.3 No Waiver. Our failure to enforce any right or provision of these Terms shall not be considered a waiver of that right or provision.
20.4 Assignment. You may not assign these Terms or any rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets.
20.5 Notices. We may provide notices to you by email to the address on file for your account, by posting notices in the Service, or by posting on our website. You may provide notices to us at support@cargoparse.com.
20.6 No Agency. Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and CargoParse.
